Firm Type: Law Firm, Experience: 3 Years, Job Overview On behalf of a top-tier distributed law firm, we are seeking a Corporate MA Associate with 3-4 years of experience in mergers and acquisitions to join a growing national corporate practice. This is a fully remote position, with a preference for candidates located in Austin, Dallas, Chicago, Boulder, or Denver. The role offers a unique opportunity to work in a modern, flexible legal environment with innovative clients and world-class attorneys.DutiesSupport corporate clients in a range of matters, including commercial agreements and tech transactions.Draft shareholder agreements, LLC operating agreements, and board minutes/resolutions.Lead due diligence efforts, draft transaction documents, and manage closing processes for mergers acquisitions.Assist with joint ventures, debt and equity capital markets transactions, and public company reporting.Provide legal counsel to reporting Foreign Private Issuers and companies listed on Nasdaq and NYSE (preferred but not required).Collaborate with experienced attorneys from BigLaw and in-house GC backgrounds.Engage in substantial client contact and professional development opportunities.Requirements3-4 years of experience working with corporate clients at a top-tier law firm.Strong leadership in managing significant aspects of strategic transactions.Ability to draft and review complex legal clauses, such as anti-sandbagging and indemnity clauses.Familiarity with securities regulations, including Reg D, Rule 144A, and Reg S offerings.Enthusiasm for expanding skill sets across corporate practice areas in a distributed, remote-first environment.Initiative, availability, and eagerness to thrive in a tech-forward firm.EducationJuris Doctor (JD) degree from an accredited law school.SkillsExcellent legal drafting, communication, and negotiation skills.Ability to work independently in a remote, distributed team environment.Strong knowledge of MA, corporate transactions, and capital markets.
