Overview

We are seeking an experienced attorney to head the Capital Markets and Mergers & Acquisitions (M&A) team in the Legal Department in our New York City office. You will lead a team of attorneys responsible for providing legal support and legal risk management to Deutsche Bank’s U.S. M&A and Capital Markets businesses. This expands across a full range of buyside and sellside, and debt and equity transactions.

What You’ll Do

  • Negotiating financial advisory engagement letters relating to buyside and sellside transactions and other advisory assignments with investment banking clients, participating in fairness committees, and advising the Business on conflicts of interest matters

  • Providing clear and concise advice to business units regarding capital markets transactions for a wide range of domestic and international issuer types and debt and equity products, including registered and 144A/Reg S bond offerings, IPOs and follow-on equity offerings and private placements

  • Amending and/or reviewing and advising on pre-transaction and transaction documents from initial pitch phase through closing

  • Working with colleagues in the Legal Department and Compliance in the U.S. and overseas to coordinate advice regarding transactions and related matters

  • Assisting with policy and guideline formulation and delivering related training on topical issues to the Legal Department and business units

  • Create, maintain, and update legal form templates for M&A and capital markets matters

How You’ll Lead

  • Leading a team actively managing legal, regulatory and reputational risk issues and working with business units and legal billing group to manage outside legal counsel engagements and related costs and expenses

Skills You’ll Need

  • Experience in M&A and/or Capital Markets (experience in both areas would be a plus but is not a requirement)

  • An active State Bar membership and extensive relevant experience at a major law firm and/or global investment bank

  • Extensive experience representing broker-dealers on financial advisory and/or capital markets transactions. Federal securities law expertise, including familiarity with Securities and Exchange Commission regulations relevant to capital markets transactions

  • Strong analytical, organizational, multi-tasking and prioritizing skills

  • Capacity to assume responsibility for your own workload from an early stage

  • Ability to appropriately weigh legal risk, reputational and commercial issues in solving sophisticated legal problems

  • Excellent verbal, written and interpersonal communication skills

Expectations

It is the Bank’s expectation that employees hired into this role will work in the New York office in accordance with the Bank’s hybrid working model.

The salary range for this position in New York City is $170,000 to $280,500. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of renumeration.
