Summary
The Legal Counsel provides comprehensive legal support across the organization to ensure compliance with applicable laws and regulations, mitigate risks, and support the company’s strategic objectives. This role primarily handles employment matters, and advises on commercial, corporate, and regulatory matters.
Responsibilities
Provide legal advice and guidance on employment, commercial, corporate, and regulatory matters.
Draft, review, and negotiate contracts, including but not limited to employment, service, and partnership agreements, and employment termination documents.
Ensure compliance with applicable laws and regulations, including employment laws and industry-specific regulations.
Manage employee terminations, legal disputes, litigation, and regulatory investigations.
Develop and implement internal policies, procedures, and training to ensure legal compliance across the organization.
Monitor changes in legal and regulatory requirements and proactively address potential impacts on the organization.
Collaborate with cross-functional teams, including HR, payroll, sales, operations, and finance to provide legal support on business initiatives.
Build and maintain relationships with external counsel, regulators, and key stakeholders.
Support corporate governance activities, including board meetings, shareholder resolutions, and statutory filings.
Assist with mergers, acquisitions, and other corporate transactions, including due diligence and post-acquisition integration.
Desired skills and competencies
Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
3-5 years of experience as a practicing lawyer, with experience working at a law firm and handling labor cases.
Strong knowledge of labor, corporate, and contract laws, and regulatory compliance.
Excellent drafting, negotiation, and analytical skills.
Ability to balance legal risks with business objectives in a fast-paced environment.
Strong communication and interpersonal skills, with the ability to work effectively across all levels of the organization.
Experience in a global or multi-jurisdictional environment is a plus.
High ethical standards and sound judgment in handling sensitive and confidential information.
Based in Metro Manila or can easily travel to Metro Manila to attend in-person labor hearings and audits.
Experience with mergers and acquisitions and corporate governance is a plus.
