Job Description

The Enterprise Counsel (“EC”) role is pivotal to supporting Agilent’s business operations. The EC provides legal expertise and experience to the business unit (“BU”) by being embedded directly within the BU leadership team.

At the BU level, the EC works closely with business partners, providing strategic legal counsel and driving innovative solutions that align with Agilent's evolving business objectives. The EC is a strategic partner and trusted advisor to the BU, working closely with BU leaders to achieve common goals.  Embedding legal expertise within the business will enable faster decision-making and improve customer responsiveness, at a global level.

At the same time, the EC must engage with other functions in the Legal department. The EC is the bridge between the Legal department and the BU, bringing the full strength and expertise of the entire Legal department to bear on the BU’s business imperatives. The EC must act as an escalation point for contract negotiations, coordinating with International Counsels and pulling in other functions of the Legal department (e.g. IP, Compliance, Contracts, Operations) as necessary. The EC is the subject matter and product expert for the BU and is responsible for providing business intelligence, strategic information and product knowledge/education to the rest of the Legal department.

The EC role requires a highly collaborative, experienced and business-minded individual who can navigate complex legal and business issues while fostering strong relationships with business stakeholders and other members of the Legal department.

Key Responsibilities:

General Counsel to the BU General Manager:

Operate as the principal point of contact of Legal to the BU GM and for general legal advice and support

Enables, coordinates and arranges for other resources in Legal where necessary and appropriate to support and resolve BU business issues

Provide Strategic Legal Counsel:

Advise business leaders on a wide range of legal and regulatory issues, including:

  • Product development and commercialization, including legal interpretation of product regulations, intellectual property, and data privacy.

  • Contract negotiations, including customer agreements, supplier agreements, and strategic alliances.

  • M&A and other strategic transactions.

  • Global trade compliance, including export controls and sanctions.

  • Competition law and antitrust matters.

  • Cybersecurity and data security.

  • Proactively identify and mitigate legal risks associated with new products, services, and business initiatives.

  • Develop and implement legal strategies that support business objectives and drive innovation.

  • Keep the BU leadership informed about key legal changes that have potential impact on the BUs business operations

Drive Customer-Centric Solutions:

  • Work closely with business teams to understand customer needs and translate those needs into innovative and legally compliant solutions.

  • Collaborate with product development teams to ensure that legal and regulatory considerations are integrated into product design and development processes from the outset.

  • Develop and implement customer-facing legal programs and initiatives, such as training and education on legal and regulatory matters.

Increase Speed to Market and Customer Response:

  • Embed with business leadership teams to provide real-time legal guidance and support, accelerating decision-making and supporting commercialization for new products and services.

  • Engage with the Contracts organization to develop and revise contract templates and contracting guidelines to fit evolving business needs and improve efficiency.

Contract Escalation Point and BU Contract Design

  • Function as a point of escalation for Contract Negotiators (for contracts relating to the BU) when further support is required beyond established guidelines to close the deal or where the expertise of the EC is required for complex and/or specialized matters.

  • Engage and coordinate with International Counsel as necessary for the BU’s regional business requirements and contract issues

  • Maintain knowledge and understanding of the contract templates used in the BU’s operations and pro-actively identify opportunities to refresh contract templates to be refreshed or developed to meet evolving needs. Partner and collaborate with the Contracts team to ensure up-to-date templates & terms are maintained in the Legal CLM

  • Provide education (including business strategy and product knowledge) to Contracts, International Counsel and other Legal functions

M&A Integration Lead:

  • Transition from M&A Legal deal lead post-closing and operate as the Legal lead for M&A Integration that relate to the BU

  • As Legal lead for M&A integrations that relates to his/her BU, coordinate and engage with other Legal functions as necessary to support integration

Foster Collaboration and Knowledge Sharing in Legal:

  • Partner closely with other legal functions, including Contracts, Intellectual Property, and Litigation, to deliver timely, accurate, and comprehensive legal support.

  • Share best practices and knowledge across the legal team and with business partners through regular training and engagement.

  • Act as a subject matter expert for assigned business units, providing downstream communication of key business unit strategies and product knowledge.

Drive Continuous Improvement:

  • Identify and implement process improvements to enhance the efficiency and effectiveness of legal services.

  • Stay abreast of legal developments that impact Agilent's business.

  • Actively participate in professional development activities to enhance legal skills and knowledge.

Qualifications
  • Juris Doctor degree from an accredited law school. 

  • 12+ years of practical legal experience is required (law firm and/or in-house), including substantial hands-on experience in drafting and negotiating strategic transactions including development agreements to biopharma manufacturing and supply contracts.

  • Top candidates will have a deep understanding of the unique challenges of companion diagnostics operations, and the legal and regulatory risks associated with high-stakes pharmaceutical products.

  • Background or experience relevant to government contracts, complex commercial transactions, diagnostic assay therapies, domestic and international drug approval processes, the molecular genomics and companion diagnostics fields and knowledge of in vitro diagnostics is desired.

Additional Details

The full-time equivalent pay range for this position is $209,360.00 - $327,125.00/yr plus eligibility for bonus, stock and benefits. Our pay ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
