The Role:

The Director of Executive and Equity Compensation is a hands-on role that is responsible for leading the development, design, and implementation of compensation programs for executives, as well as managing the company’s equity-based compensation plans. The role involves collaborating with senior leadership and the Compensation Committee to ensure that the company’s executive and equity compensation strategies are competitive, align with organizational goals, and comply with regulatory requirements.

Key Responsibilities:

  • Executive Compensation Strategy and Design:

    • Develop and manage executive compensation programs, including base salary, short-term incentives (bonuses), and long-term incentives (equity awards).

    • Prepare the Compensation Discussion and Analysis (CD&A) section of the annual proxy statement, ensuring transparency and accuracy in executive compensation disclosures.

    • Prepare  materials for the Compensation Committee of the Board of Directors, including compensation analyses, recommendations, and reports..

    • Collaborate with Compensation Consultants to conduct market analyses to ensure executive compensation packages are competitive and aligned with industry standards.

    • Create compensation strategies that attract, motivate, and retain executive talent, while aligning with business goals and shareholder interests.

  • Equity Compensation Programs:

    • Design and administer equity-based compensation plans, such as stock options, restricted stock units (RSUs), performance shares, and other long-term incentive plans.

    • Collaborate with legal and finance teams to ensure compliance with securities regulations and financial reporting requirements related to equity compensation.

  • Governance and Compliance:

    • In partnership with the Legal team ensure compliance with all relevant regulatory requirements, including SEC rules, tax regulations (such as Section 409A), and shareholder-approved compensation plans.

  • Compensation Benchmarking and Analysis:

    • Conduct in-depth analyses of executive and equity compensation data to benchmark against peer companies and industry best practices.

    • Provide insights and recommendations based on data analytics to inform compensation decisions and equity plan designs.

    • Evaluate the effectiveness of compensation programs in driving performance and retention, adjusting plans as necessary.

  • Collaboration with Key Stakeholders:

    • Partner with senior executives, HR, legal, finance, and external consultants to design and execute compensation programs that align with the company’s strategy and goals.

    • Work with external advisors and consultants to assess market competitiveness and regulatory compliance.

    • Communicate compensation philosophy and programs to executives and employees, ensuring clarity and understanding.

  • Plan Administration and Reporting:

    • Manage the administration of equity compensation plans, including the tracking of awards, vesting schedules, and payouts.

    • Ensure the accuracy of equity compensation data and timely reporting for financial, tax, and regulatory purposes.

    • Monitor equity plan utilization, share pool management, and dilution to ensure alignment with shareholder interests.

Qualifications:

  • Bachelor’s degree in Human Resources, Business Administration, Finance, or a related field (Master’s degree or professional certification, such as CCP, CEP, preferred) or equivalent industry experience.

  • Proven experience in executive compensation, with experience designing and administering complex compensation programs.

  • Expertise in equity compensation plans, including RSUs and performance shares.

  • Proven ability to interact with senior leadership and Compensation Committees on executive compensation matters.

  • Strong analytical and problem-solving skills, with the ability to work with large datasets and conduct compensation modeling.

Preferred Skills:

  • Experience working with publicly traded companies, particularly with equity plans involving global participants.

This position offers an annual salary of typically between $ 121K and $ 278K dependent on location and experience.  In certain circumstances, higher compensation will be considered based on the business need, candidate experience, and skills.
