Job description

General Description:

BeOne Medicines is seeking an experienced Sr. Paralegal to support the diverse needs of our dynamic in-house 
Legal team, primarily in the area of corporate entity maintenance and corporate governance for our Swiss 
subsidiaries and other international subsidiaries. This employee could also assist with other legal responsibilities 
and initiatives at BeOne Medicines, including contracts and project-based support. This position will be remote based anywhere in Europe.


Responsibilities:
 

Corporate Governance Support
• Managing the corporate records of BeOne Medicines companies in Europe, Japan Asia Pacific (JAPAC) and the New Markets (NM) region, i.e., outside of the United States and China.
• Building and managing an electronic subsidiary and corporate record management system, including organizational and qualification documents and board and shareholder minutes and consents.
• Forming and corporate housekeeping for legal entities in Europe, JAPAC and the NM region. including drafting corporate organizational documents, preparing and maintaining board and shareholder minutes and resolutions, and other corporate records.
• Maintaining statutory registers and minute books. Coordinate the supply of statutory documents to regulatory authorities in accordance with corporate governance standards.
• Oversee the supply chain of legal documentation between internal departments and external stakeholders, including notaries.
• Coordinating with BeOne Medicines’ paralegals in the United States and China.
• Assisting with managing the BeOne Medicines’ corporate electronic data room.
• Supporting intercompany transactions and documentation.
• Assisting with notarization and legalization of documents for regulatory filings, letters of authorization and powers of attorney.
• Ensuring meticulous corporate recordkeeping.
• Assisting with simple contract negotiation and drafting.
• Responsibilities include working with the Legal team on contracts management, and other projects.

Finance
• Approval of annual accounts, and appointment of auditors.
• Filing of annual accounts and the necessary filing required in relation to annual statutory compliance obligations.

Other Project and Transactional Support
• Supporting the Legal and Compliance team and a variety of corporate transactions as they arise and other Legal and Compliance team projects and initiatives.

Supervisory Responsibilities: 
This position does not currently have managerial responsibility or budgetary discretion.


Requirements:

• At least 8 years of professional paralegal or equivalent experience, preferably at a publicly listed global pharmaceutical or biotechnology company.
• Bachelor’s Degree and Paralegal certificate required.
• Experience maintaining corporate records of a Swiss company and international subsidiaries.
• Exceptional organizational and communication skills.
• Very high attention to detail.
• Ability to handle confidential and proprietary information using excellent discretion and judgment.
• Self-motivation and ability to work both independently and as a team player.
• Ability to be flexible and willing to accept new responsibilities in a fast-paced, multi-project environment.
• Fluent in English (both verbal and written). Additional language skills are an advantage.

Computer Skills:
Proficiency in the Microsoft suite of tools including Outlook, Word, PowerPoint, Excel. as well as project 
management applications such as Microsoft Project and Visio.
