Job description

JOB SUMMARY: 

As a member of CareQuest Institute’s Legal Department, the Associate General Counsel is a strategic thinker and business partner who provides practical, real world legal solutions and works collaboratively with other teams at CareQuest Institute and its affiliates. The Associate General Counsel is responsible for providing a broad range of general corporate legal services with specific focus on data and privacy issues and agreements, strategic consulting and partnership agreements, and employment matters. This role reports directly to the EVP, Chief Legal and Compliance Officer.
 

PRIMARY JOB RESPONSIBILITIES:

Data and Privacy 

  • In partnership with the Organization’s data insight and business analytics team, lead and support development and negotiations of data share/use agreements, licenses and other data driven agreements, including providing guidance for implementation and compliance. 
  • Provide advice and guidance on intellectual property, state and federal privacy and data security laws and regulations, including HIPAA, CCPA, SAMHSA, TCPA, GDPR, and other privacy protection laws and serve as the subject matter expert for federal and state privacy laws and regulations.
  • Track and monitor legal and regulatory developments in intellectual property, privacy and data issues, and proactively support of the legal and compliance team to ensure up-to-date knowledge and influence of privacy laws and litigation trends.
  • In partnership with the Governance, Risk and Compliance Director, assist with the management of regulatory inquiries, investigations, and administrative actions related to privacy and data security.

General Corporate and Partnership/Transaction Support

  • Draft, review, and lead negotiations for a variety of commercial and strategic partnership contracts, which may include vendor agreements; consulting agreements, collaboration agreements, and joint venture agreements.
  • Conduct legal reviews and approval of publications, marketing material, and press releases
  • Partner with the Chief Legal Officer and other team members to support due diligence and transactional matters.
  • Provide counsel to the Policy and Government Affairs team and review and comment on legislative issues, as requested

  • May have supervisory responsibilities.
  • Perform any other job-related instructions as requested


JOB QUALIFICATIONS: 

  • J.D from an accredited United States law school.
  • Active bar membership in good standing, preferably in Massachusetts
  • Minimum of ten  (10) years of legal corporate practice experience in law firm or in-house.
  • Five (5) years of privacy or privacy related legal experience is required, 
  • Deep knowledge of federal and state privacy and data security laws, regulations, and standards, including HIPAA and CCPA, with an emphasis on healthcare related privacy regulations is required.
  • Understanding and familiarity of GDOR 
  • Experience with Intellectual Property issues, technology transfer and licensing agreements.
  • Knowledge of federal and state healthcare laws and regulations is preferred.
  • Strong negotiation and contracting experience, particularly with complex arrangements

PHYSICAL DEMANDS:

  • Incumbent must be able to communicate effectively. 
  • Manual dexterity and sitting is required in carrying out position own position responsibilities (i.e. use of personal computer). 
  • Ability to travel or move about within and outside serviced facilities required. 
  • Incumbent works primarily in either a private or shared office environment.
