Responsibilities:

  • Assist in managing transactions from due diligence to closing in collaboration with outside counsel.
  • Review investment targets from a legal standpoint and assist in identifying risks.
  • Help establish, review, and maintain legal documentation for M&A transactions.
  • Work closely with the General Counsel on corporate legal matters, providing support as needed.
  • Assist in the preparation of corporate documents, including entity formation and other legal filings.
  • Support senior counsel with acquisition, financing transactions, and other corporate matters, including due diligence and closings.
  • Maintain the Legal Department’s document database, ensuring proper organization and access.
  • Assist with the review and preparation of NDAs, commercial contracts, and other legal documents.
  • Provide legal support to the in-house Legal Team and other departments within the company.


Day-to-day tasks:

  • Assist with revisions and updates to legal templates used in corporate and M&A transactions.
  • Communicate with investors, entrepreneurs, and stakeholders regarding legal documents and KYC information.
  • Help streamline incorporation procedures across multiple jurisdictions, ensuring compliance.
  • Provide support to the Legal and M&A teams in various aspects of transactions, including documentation and logistics.


Must-have Requirements:

  • Have 3+ years of experience with M&A law, corporate mergers, acquisitions, etc. at a large company or law firm
  • Be comfortable engaging with executives and investors directly and be prepared to speak on behalf of the company when needed.
  • Have experience identifying and executing domestic and foreign filing requirements.
  • Demonstrate resourcefulness, initiative, and a desire to deliver excellent work products while maintaining a key role within a growing team.
  • Possess a positive attitude, be proactive, be flexible, and be a team player.
  • Skills required include advanced knowledge of MS Office (Outlook, Teams, Word, and Excel).
  • Must be detail-oriented, able to prioritize needs based on urgency, multi-task, and work in a fast-paced team-orientated environment.
  • Ability to work flexible work hours to accommodate meetings on CET, EST, and PST.
