What You Can Expect
Responsible for providing timely legal advice and services related to Zimmer Biomet’s (ZB) mergers and acquisitions (M&A), strategic transactions, and investments, including drafting and reviewing contracts, due diligence, and post-close activities and integration. Collaborate with business partners and outside counsel to provide legal strategies associated with transactions.
How You'll Create Impact
Provide legal support on various Corporate Development matters, including drafting agreements (e.g., commercial/transactional, non-disclosure agreements, retention agreements, etc.) and reviewing communication to ensure it satisfies legal requirements.
Provide legal support to Zimmer’s commercial business operations, particularly the sales and distribution functions and general business agreements. This will include assisting with the negotiating, drafting and finalizing of distributor, product purchase, vendor and consignment contracts; advising on business law issues including contract interpretation and requirements; and providing perspective on various other legal issues and obligations.
Provide legal support to certain corporate functions such as finance, tax, human resources, etc., including assisting such functions in the engagement of professional service providers and other legal matters.

Intermediate skills in Microsoft Office Suite.
The ideal candidate would understand m&a, corporate law, and healthcare industry developments in addition to the general legal implications of business decisions.
Education/Experience Requirements
Juris Doctor (law degree) from an American Bar Association accredited Law School
A minimum of 3 years of experience providing legal advice on a broad range of business issues, including mergers and acquisitions
Currently admitted in good standing to practice law in at least one state in the United States.
Experience in medical device regulations and compliance issues, preferred
Travel Expectations
