Corporate Paralegal International, remote in Ireland

This is a great opportunity for a talented corporate paralegal to join Allegion’s International Legal team as a corporate paralegal for the EMEA and APAC region.

The Role

 

The Corporate Paralegal International will play a key role within Allegion’s International Legal team by assisting in various corporate legal work streams and some key administrative activities relating to Allegion’s International subsidiaries (+- 65 entities). The successful candidate will work closely with in-house counsels and various cross-functional teams to ensure legal processes and documentation are accurate and compliant with applicable laws and regulations.

 

The role will be remote in Ireland with sporadic travels to Allegion’s Dublin office or abroad. The role will report to the Corporate Counsel International based in Brussels, Belgium.

 

We seek an individual who is endlessly curious, with a can-do attitude, proactive, action-driven, capable of supporting complex problems and achieving significant results. This person should possess an empathetic interpersonal style to connect with stakeholders and demonstrate flexibility in adapting to changing company priorities.

 

Main tasks:

 

  • Act as the first point of contact for corporate lifecycle tasks (i.e., entity incorporations, director changes, AGM’s etc.), providing timely and effective support to your stakeholders while collaborating with external advisors, treasury, tax, accounting, and other teams.
  • Support and manage the approval of annual accounts for all international subsidiaries of Allegion, ensuring timely and accurate submissions.
  • Support and ensure compliance with Ultimate Beneficial Ownership (UBO) requirements across all relevant entities.
  • Facilitate the invoicing process through Legal Tracker (e-billing) by opening new matters, reviewing invoices, and managing the approval and payment processes.

 

What you need to succeed

 

  • You hold a bachelor’s degree in law and/or paralegal certificate.
  • You have 3+ years of experience as a corporate paralegal in a law firm or corporate legal department dealing with international subsidiaries OR strong knowledge of corporate governance and compliance principles in international entities.
  • You have experience with UBO / Know Your Client (“KYC”) requests.
  • You have excellent English both written and verbal. A (good) knowledge of any other language, German, Dutch, Italian, French, Polish, Arabic, and/or Spanish is a very strong asset.
  • You have experience working in a fast-paced environment with international clients or subsidiaries.
  • You are effective, proactive, creative, organised, stress resilient and have an eye for details.
  • You have a collaborative approach and a roll-up your sleeves attitude to tackle projects large and small.
  • You are proficient with OR eager to learn to use MS Office, e-signing tools such as DocuSign, e-billing tools such as Legal Tracker, and entity management platforms such as Diligent Entities, GEMS.
  • You have the ability to work independently and as part of a team.
  • Flexibility to work across different time zones and open to sporadic travel.
