Job description

InvestCapital is a company part of KRUK Group, established as a notified securitization vehicle in Malta, performing activities of investments in portfolios of unsecured receivables and asset-backed securities. Due to the expansion of our activity we are looking for the Corporate Lawyer for French market.

This position is intended for individuals who are looking to relocate to Malta, as well as for those professionals who prefer to remain in their current place of residence and collaborate remotely (openess to business trips to Malta and other company locations expected).


As a Corporate Lawyer, you will be responsible for ensuring the legality of commercial transactions, advising corporations on their legal rights and duties, and handling the complex legal needs of the business in line with French law. You will work closely with various departments within the company and KRUK Group, to provide strategic legal guidance and ensure compliance with all relevant laws and regulations.


Key Responsibilities:

  • Legal Advisory: Provide expert legal advice to the company's executive team and various departments on a wide range of legal issues, including corporate governance, mergers and acquisitions, contract negotiations, and regulatory compliance.
  • Contract Management: Draft, review, and negotiate contracts, agreements, and other legal documents to ensure the company's interests are protected.
  • Corporate Governance: Advise on corporate governance issues, ensuring that the company adheres to relevant laws, regulations, and best practices.
  • Regulatory Compliance: Monitor and ensure compliance with applicable laws and regulations, including any industry-specific regulations.
  • Risk Management: Identify potential legal risks and develop strategies to mitigate these risks, including the management of litigation and dispute resolution processes.
  • Mergers and Acquisitions: Provide legal support for mergers, acquisitions, joint ventures, and other corporate transactions, including due diligence, structuring, and post-transaction integration.
  • Dispute Resolution: Manage and resolve legal disputes, including overseeing litigation and working with external counsel when necessary.
  • Stakeholder Engagement: Work with external stakeholders, including regulators, auditors, and external legal counsel, credit servicers to ensure the company's interests are represented and protected; collaboration with Group Head of Legal any with other units of the mother company, to align the company's legal strategy with broader corporate objectives and ensure consistency in legal practices across the organization.
  • Policy Development: Assist in the development and implementation of company policies and procedures, particularly those related to legal and regulatory compliance.


Qualifications:

  • Education: degree from an accredited law school.
  • Licensure: Advocate
  • Experience: Minimum of 3 years of experience as a corporate lawyer, with a strong background in corporate law and in sale purchase agreements of receivables


Skills:

  • Strong understanding of corporate law and commercial transactions, including transaction of purchasing of portfolios of receivables.
  • Excellent negotiation, communication, and interpersonal skills.
  • Ability to manage multiple projects simultaneously and work under pressure.
  • Strong analytical and problem-solving abilities.
  • High ethical standards and professional integrity.
  • Proficiency in legal research tools and Microsoft Office Suite.
  • Fluent in English and French


Preferred Qualifications:

  • Experience in a corporate legal department or in-house counsel role.
  • Experience with cross-border transactions.
  • Understanding of the industry-specific regulations relevant to the company's operations.
  • Strong business acumen and the ability to provide practical, business-oriented legal advice.
  • Experience in the are of NPL portfolio purchases and servicing ( in NPL management industry).
