JOB SUMMARY:  The Director of Contract Administration is a trusted business partner managing customer relationships, negotiating deals, creating innovative solutions, and providing regulatory knowledge to internal customers. This position is responsible for supporting the negotiation and administration of contracts on behalf of Spectrum Control and its subsidiaries in compliance with contract requirements and applicable laws, to include lifecycle management and retention of contracts, nondisclosure agreements and consulting agreements. This position will be responsible for ensuring adoption of best practices across a diverse organization.

ESSENTIAL JOB FUNCTIONS: 

  • Engage with internal stakeholders to help achieve financial and profitability goals during proposals and contract negotiations, and work closely with the Sales team and Business Units to monitor performance and reduce risk.
  • Support all aspects of contract administration support (including proposal development, contract negotiation, contract administration and contract closeout processes) for U.S. Government contracts.
  • Evaluate contract performance to determine necessity for amendments or extensions of contracts, and compliance to contractual obligations.
  • Provide Legal advice and negotiation on such items as Intellectual Property, Insurances, Indemnifications, Limitations of Liability, Warranties, Liquidated Damages, and Payment Terms for domestic and international efforts.
  • Negotiate Teaming Agreements, Contracts, Subcontracts, Master Service Agreements, Long Term Agreements, Memorandums of Understanding, Terms and Conditions, Consignment Agreements, Bailment Agreements, Teaming Agreements, Asset Sale Agreements, Sales Representative, Reseller, and Distributor Agreements, and Non-Disclosure Agreements for domestic and international efforts and communicate with all parties to ensure timely contract execution by the parties.
  • Confirm that final contract documents are consistent with agreements reached at negotiations.
  • Lead and participate in company process improvement initiatives.
  • Build and maintain effective working relationships with internal and external customers.
  • Provide guidance, interpretation, advice and counsel to the sales teams and Product Line Managers.
  • Collaborate with Legal on Intellectual Property related matters.
  • Negotiating Teaming Agreements and Non-Disclosure Agreements.
  • Promote an ethics-based business culture within scope of responsibility to ensure full compliance with Spectrum Control’s Code of Ethics.
  • Actively participate in Department process improvement initiatives.
  • Participate in Certified Cost and Pricing sweeps and provides compliance guidance, sanitization, and negotiations.
  • Monitor, update, and maintain all entities in System for Award Management (“SAM”).
  • Coordinate and submit small business reporting in the United States Government’s Electronic Subcontracts Reporting System (“esrs”);
  • Review and submit all company Representations and Certifications;
  • Maintain all approvals for Contract Administration Managers in the United States Government’s Procurement Integrated Enterprise Environment (“PIEE”);
  • Coordinate and support all DCMA/DCAA Audits;
  • Manage and Track all Patents and Trademarks;
  • Administer and maintain the company’s contract management system;
  • Lead continuing Legal Entity Rationalization/Consolidation (once FCL completes, SAM updates, D&B updates, Government novations).
  • Maintain Parts Lists per CAGE in iGirder & SAM;
  • Manage and update the company’s contractual templates (NDA’s, T&C’s, Flow-downs, Contracts, etc)

OTHER JOB FUNCTIONS& RESPONSIBILITIES:  

  • Identify risks and areas of concern on contract terms and conditions and provide contractual advice, guidance and support to the sales teams and other part of the business.
  • Respond to inquiries regarding contract obligations and revisions.
  • Participate in TINA implementation/sweeps.
  • Negotiate terms and conditions.
  • Monitor contract performance and cost controls and ensures compliance with contract terms.
  • Prepare teaming agreements, MOU’s, MOA’s, and domestic and international consultant/sales representative agreements and other contractual agreements.
  • Prepare contractual documents, including the preparation of contract terms and conditions, and assembles contract documentation package.
  • Participate in management review of proposals/contracts and in the conduct of program reviews.
  • Assists in the preparation of export license applications.
  • Assists with subcontract negotiation and management.

REQUIRED QUALIFICATIONS:

  • Education:  Bachelor's Degree
  • Experience Years:  10-15 years                      
  • Experience Type:  U.S. Government Contract experience specifically with CP, FFP and T&M type contracts and possess a solid understanding of the FAR and DFARS and their application to U.S. Government procurements.
  • Solid understanding of contracting process and the ability to work effectively and independently in a dynamic multi-program environment.
  • Strong understanding of contract/Purchase Order terms and conditions.
  • Detailed knowledge of the government contracting process including sole source and competitive procurements.
  • Advanced knowledge of government intellectual property (IP)/ software and data rights clauses and IP marking guidelines.
  • Excellent communication skills, both written and oral and strong organizational skills.
  • Equivalent combination of education and experience.

CERTIFICATE/LICENSE:  DOD Security Clearance at Secret (or able to qualify) required

DESIRED QUALIFICATIONS: 

  • Extensive U.S. government Contracting experience.
  • Excellent interpersonal, written and oral communication skills.
  • Able to effectively establish working relationships with all customers, both internally and externally.
  • Self-starter who requires minimal supervision.
  • Able to handle multiple assignments and achieve or exceed program deadlines in a fast-paced environment while maintaining the highest standards of ethics and integrity.
  • Skilled in interpreting contract requirements, contract change impacts, and supporting development of U.S. Government Contract proposals.
  • Adept at creating and negotiating contract terms and conditions, working with the Sales Team and Business Units to develop contracting strategies based upon contract terms, articulating that position to the business and ensuring the business is able to effectively articulate the position to the Customer to ensure effective Program execution.
