Direct and participate in the resolution of claims, disputes, litigation and related legal matters.
Supervise and coordinate all company activities involving outside legal counsel.
Provide legal advice to President & CEO and all CMSU employees in the performance of company duties and responsibilities.
Draft, review and negotiate contracts; provide training on legal compliance to employees; prepare and update policies and procedures concerning legal compliance.
Advise CMSU and CMRU on intellectual property matters.
Oversee activities related to Regulatory Affairs.
Oversee activities related to SOX compliance & risk management. This includes the SOX management strategic plan in collaboration with executive management.
Assist with due diligence on all legal aspects of mergers and acquisitions.
Create and conduct training in various legal compliance matters.

Knowledge of state and federal regulations and laws as they pertain to this position including but not limited to the Sarbanes-Oxley Act, and all other applicable laws relating to the company's compliance.
Adept at handling complex contract negotiations (medical equipment industry preferred).
Knowledge of all aspects of employment law, including without limitation, laws governing termination, benefits, and leaves of absence (medical equipment industry preferred).
Other LLB or JD accreditation, including admittance to practice law.
10 years of increasing responsibility
Recent experience in advising corporations on a variety of legal matters, including contracts, product liability, anti-trust, healthcare laws, FDA and employment law, as well as significant experience in review, drafting and negotiation of contracts (medical equipment industry preferred).
10 years in leadership position in a corporate legal department, 15+ years preferred.
Knowledge of healthcare laws (Federal Anti-kickback regulations, HIPAA, Open Payments Act).
Recent experience in health care and/or medical device.
Depth of experience in M&A and commercial contracts (medical equipment industry preferred).
Team player who can effectively interact with the various departments of CMSU and CMRU.
Range in $300,000 base salary plus performance incentive with upside potential.
Position may be remote (will travel to USA headquarters in Tustin, CA as requested)
