We are seeking a motivated and skilled Senior Commercial Counsel to join Circ, a fast-growing, tech-enabled textile manufacturing company. Circ is on a mission to revolutionize the fashion industry through circular fashion systes, turning clothing waste into reusable raw materials. In this role, you will manage and negotiate commercial contracts while providing legal counsel on corporate matters. The ideal candidate will have strong experience in commercial contracting, particularly in high-growth environments, and a proactive approach to legal projects.
This position is remote within Europe, and if based in Amsterdam, co-working office space is available. Join us as we lead the way in sustainable fashion, leveraging innovative technology to eliminate fashion's environmental impact.
*Must be based in Europe, preferably in the Amsterdam Time Zone. Travel onsite to the Danville, Virginia, U.S. office as needed, likely twice per year.
Responsibilities:
- Manage the entire lifecycle of contracts, including drafting, reviewing, negotiating, and finalizing agreements such as commercial contracts, NDAs, MSAs, Material Transfer Agreements (MTAs), long-term sales contracts (offtake agreements), and vendor agreements.
- Collaborate with senior business leaders to translate complex business discussions into legal agreements that protect the company’s interests and align with long-term business goals.
- Work closely with the General Counsel and other internal stakeholders to provide legal guidance on commercial contracting, corporate transactions, and general legal matters.
- Support high-level corporate transactions, including venture financing and employment law issues.
- Drive the contract management process, ensuring contracts are executed efficiently and in compliance with company policies, legal standards, and industry best practices.
- Provide legal counsel on sophisticated long-term contracts with large companies, including negotiations with international partners and investors.
- Conduct thorough legal research and prepare legal documents.
- Manage external legal counsel when necessary to handle complex legal matters.
- Stay up to date on relevant legal developments, including commercial law, contract law, and other applicable areas to provide accurate and informed advice.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- 5+ years of experience at an international law firm, ideally with a focus on corporate work and commercial contracting.
- Candidates with an additional 2+ years of experience in a high-growth company or within a small legal department are strongly preferred.
- A proactive and curious mindset, with a willingness to learn and adapt to new legal challenges in a fast-paced environment.
- Ability to manage multiple priorities, meet deadlines, and deliver high-quality work in a high-intensity environment.
- Strong experience in drafting, negotiating, and managing complex commercial contracts, including long-term agreements with corporate clients.
- Experience working with contracts management systems such as Ironclad and proficiency in Microsoft Office/Google Suite.
- Proven ability to work with senior business leaders and translate business needs into effective legal agreements.
- Self-motivated and highly organized, with a proven ability to take ownership of legal projects and drive them to completion independently.
- Strong communication skills, with the ability to convey complex legal concepts clearly and concisely to stakeholders at all levels.
- Experience with venture financing and corporate governance is a plus.
- Experience with employment law, while not required, would be beneficial for internal advisory work.
