AZRA is a specialty niche reinsurer, domiciled in California and licensed as an admitted insurer in 36 states (including District of Columbia), and is a qualified, accredited, or approved reinsurer in fifteen states. AZRA is a property casualty reinsurer which writes both prospective and legacy reinsurance. AZRA has specific expertise in run-off management of U.S. legacy insurance liabilities. It services Allianz Group affiliates and third parties including third party claims administration of asbestos, environmental, workers compensation, general liability, and construction defect liabilities.
AZRA has approximately 150 employees located nationwide with the majority working on a remote basis.
Working under general guidance, perform advanced legal tasks proficiently including detailed legal research using fully developed subject matter expertise and technical knowledge. Regular assignments are performed with minimal instruction; new assignments are performed with general instruction and supervision. Incumbents must use good judgment, initiative and problem solving skills. Typically has 4-5 years of experience as a paralegal.
What you do:
Insurance-1) Perform legal research and analysis of statutory, regulatory and case law in federal and all state jurisdictions relating to insurance, reinsurance, marketing, compliance and other general business issues 2) Assist attorneys in the development of strategic legal advice for clients based on a thorough analysis of law including fact gathering by interviewing clients and external parties, researching the law and corporate external documents including review of contracts and prior research 3) Research and draft state-by-state surveys, memoranda and summaries that are clear and concise 4) Assist with developing and presentation of training materials 5) Review and draft contracts 6) Liaise with business partners and external counsel 7) Conduct preliminary viability searches for trademarks and track renewals 8) Compile reports and excel spreadsheets 9) Manage adjuster licensing vendor and conduct research on licensing requirements 10) Special projects as requested
Governance 1) Maintain entity management system with corporate records and director/officer appointments for multiple subsidiaries, boards and committees 2) Manage and maintain board portal for use with board and board committee meetings, unanimous written consents, surveys and other communications 3) Manage board and board committee process, including drafting, circulating and publishing agendas, materials, minutes and resolutions for multiple legal entities 4) Calendar and participate in board and committee meetings, take minutes and manage presentations for multiple boards and committees.
Corporate- 1) Assist with corporate transactions including obtaining sensitive documents and taking lead responsibility for organizing and processing due diligence for complex mergers, acquisitions, and dissolutions 2) Formation of legal entities 3) Investigate the factual evidence of a transaction 4) Draft legal closing documents 5) Distribution of transactional documents 6) Prepare and handle form documents, certificates, registrations and filings, including UCC filings 7) Perform research and analysis of statutory, regulatory and case law in federal and all state jurisdictions relating to corporate and other general business matters.
Regulatory Compliance- 1) Prepare and provide supporting documentation to State Insurance Departments for licensing requirements 2) Corporate and Insurance regulatory filings, holding company act compliance, cybersecurity compliance and update an maintain corporate records and files.
What you bring:
- 4-5 years of experience required: Working in corporate law or litigation. Demonstrated success managing multiple projects and priorities in a fast-paced environment.
- Proficiency with MS Office Suite.
- Four-year degree required. Legal degree or equivalent professional experience/paralegal degree.
- Work experience with an insurance company preferred, but not required.
Job may require periods of stooping, bending, sitting or standing. Limited domestic and/or international travel may occur.
Base Salary Range $85,000 - $105,000
Actual base salary may vary based upon factors such as relevant experience, qualifications, internal equity of peers, and geographic location. In addition to base salary, this position is eligible for an annual incentive program.
